Principal of Recombinant MGMT, LLC (the Managing Member), the Managing Member of Recombinant Diagnostics LLC. Mr. Tanenbaum serves as Manager of Recombinant MGMT, LLC, the Managing Member of the Company. He oversees the Company’s legal, regulatory, and charitable-program strategy.
NuuMedRx Inc. d/b/a Nutragenics Inc. supplies the Panel to the Company under the Purchase and Sub-Distribution Agreement dated October 21, 2025, as amended. As an affiliate of the Managing Member, this is a related-party relationship; it is described in the Risk Factors section of the Private Placement Memorandum.
Mr. Weild is the former Vice Chairman of NASDAQ. He is engaged by the Company as a consultant only. He is not engaged as a placement agent or broker-dealer, is not paid for the solicitation of purchasers of the Units, and does not participate in the sale of the Units. His consulting services relate to capital markets, market structure, and corporate strategy generally, and do not include the offer or sale of securities.
Dr. Hicks is a researcher in saliva-based biomarker science and salivary microRNA diagnostics, with published work in pediatric health applications. He is engaged by Nutragenics as a science and medical advisor over the Panels. He advises the Company on saliva specimen collection and handling methodology.
Mr. Brisgel is the manager of Mastermind Nexus, LLC, which is the initial Member of Recombinant Diagnostics LLC. He has substantial experience in financial strategy for high-net-worth individuals and families. As a principal of an affiliate, Mr. Brisgel is a related party of the Company; the relationship is described in the Private Placement Memorandum.
Engaged to prepare the Company’s tax returns, audit the Company’s financial statements, and issue Form K-1s to Members reflecting their distributive share of the §170 charitable contribution deduction.
Provides general corporate and tax counsel to the Company. Meltzer Lippe did not prepare the written independent tax analysis referenced elsewhere in the offering.
Each named individual and entity is engaged in the capacity stated. Affiliate relationships and related-party transactions are described in the Risk Factors section of the Private Placement Memorandum. The Company’s independent tax analysis is not provided for reliance by any Subscriber, Member, or other person, and any use is subject to the assumptions and limitations stated in it.
