How the charitable-donation program works.

From subscription to donation to Schedule K-1 — the structure that turns a charitable gift of hereditary cancer risk assessment into an allocable deduction for Members.

Structure

A single-purpose, time-limited entity.

Recombinant Diagnostics LLC is a Delaware limited liability company managed by Recombinant MGMT, LLC. It is organized to expand access to hereditary cancer risk assessment by donating Panels to §501(c)(3) public charities, and to allocate the resulting charitable-contribution deduction to its Class A Members.

The offering

Class A Units are offered at $50,000 per Unit to verified accredited investors under Rule 506(c) of Regulation D, through the Company’s Private Placement Memorandum and definitive Subscription Agreement.

The charitable mechanism

The Company donates Panels to qualifying §501(c)(3) public charities. A qualified appraisal supports the charitable-deduction value, and each Member receives the substantiation the Code requires, including a Schedule K-1.

Use of proceeds

Where the capital goes.

Subscription capital is applied on an 80 / 20 basis per Unit — the substantial majority to acquiring the Panels that are donated, with the balance to program administration.

80% · per Unit

$40,000 — Panel acquisition

Applied to acquiring the unitized hereditary cancer risk-assessment Panels the Company donates to qualifying public charities.

20% · per Unit

$10,000 — Expense allocation

Applied to program administration and the costs of operating the offering and the charitable program.

Audit Defense Reserve

The Company may maintain an Audit Defense Reserve of up to $12,500,000 to support Members in connection with the charitable deductions. The Reserve offers no guarantee of outcomes and is not insurance.

On or about December 1, 2026

Qualified appraisal

A qualified appraisal is obtained to support the charitable-deduction value under §170(f)(11) and the applicable Treasury Regulations. The appraisal may be completed as late as prior to the Company’s filing of its applicable tax return.

December 15, 2026

Final Closing

The final closing to new subscribers. After this date, no new subscriptions are accepted.

No later than December 31, 2026

Donation Date

The Panels are donated to qualifying §501(c)(3) public charities.

By February 15, 2027

Redemption

Redemptions, where applicable, are processed within 30 business days and no later than this date.
