The data room contains the Private Placement Memorandum, the Operating Agreement, the Subscription Agreement, and supporting materials for the Charitable Donation Program. Access is provided only to accredited investors whose status has been verified under Rule 506(c) of Regulation D. Submitting this request does not deliver any offering document and does not create any obligation on either side.
Under Rule 506(c), the Company is required to take reasonable steps to verify that every purchaser is an accredited investor. This first step is your attestation; independent verification follows before any data room access is granted.
Because general solicitation is permitted under Rule 506(c), self-certification alone is not sufficient. Accredited-investor status is independently verified before the data room is opened.
Your request is reviewed by the Program administrator, who will contact you using the method you selected.
Accredited-investor status is verified through review of documentation or third-party professional confirmation, and identity and account ownership are confirmed through the Program’s verification partners.
Once verification is complete, credentialed access to the Private Placement Memorandum and the balance of the Program materials is issued to you directly.
Any offer is made solely through the Private Placement Memorandum and the definitive Subscription Agreement. This website and this form do not constitute an offer to sell or a solicitation of an offer to buy any security, and no offering document is delivered by submitting this request. The Charitable Donation Program is not an investment of any kind: Members are not entitled to any economic return, profit, yield, or capital appreciation. Any charitable contribution deduction depends on each Member’s own circumstances and is not guaranteed. Prospective Members should consult their own tax, legal, and financial advisors.
